
Cancellation, Withdrawal & Refund Policy
1. Purpose and Scope
This Service Delivery, Cancellation, Withdrawal and Refund Policy (the “Policy”) explains the conditions applicable to the delivery, cancellation, withdrawal and refund processes for in-person training programmes, live online training programmes, workshops, webinars, certificate programmes, recorded learning content, downloadable educational materials and related educational services purchased through the HimerAgile website.
As HimerAgile primarily offers training and digital services rather than physical products, the term “delivery” in this Policy refers to the delivery of the purchased service at the scheduled date and time, the provision of online access, or the supply of digital content to the Buyer.
This Policy applies together with the applicable International Terms of Sale for Training and Digital Services, the order-specific information shown at checkout, and any mandatory consumer rights applicable in the Buyer’s country of habitual residence. Nothing in this Policy limits or excludes rights that cannot lawfully be waived or restricted by contract.

3. Types of Services and Method of Delivery
3.1. In-Person Training Programmes and Workshops
In-person training programmes and workshops are delivered at the date, time and location stated on the relevant programme page and in the order confirmation. Participation rights are assigned to the participant identified during registration, unless a permitted participant substitution is notified in accordance with this Policy.
Where HimerAgile is ready and able to deliver the programme as scheduled, a participant’s failure to attend shall not mean that the service has not been made available. Any applicable mandatory consumer withdrawal right and the cancellation or participant substitution options set out in this Policy remain reserved.
Unless expressly stated otherwise, Buyers are responsible for their own travel, accommodation, visa, insurance and other participation-related arrangements and expenses.
3.2. Live Online Training Programmes and Webinars
Live online training programmes and webinars are delivered at the date and time stated on the programme page through an online meeting or learning platform. Access links and relevant participation instructions are sent to the email address supplied during registration.
Unless expressly stated otherwise, scheduled programme times are stated in Türkiye time (UTC+3). Participants joining from other countries are responsible for checking the corresponding local time before completing their purchase and before the session begins.
The Buyer or participant is responsible for ensuring adequate internet access, compatible equipment, camera/microphone where required, necessary software access and an accurate email address. Inability to attend due to circumstances not attributable to HimerAgile, including local connectivity problems, equipment incompatibility, corporate firewall restrictions, inaccurate contact details or time-zone miscalculation, shall not in itself create a right to a refund.
3.3. Digital Content and Downloadable Materials
Where a purchased Service includes recorded video content, a digital workbook, template, presentation, downloadable file, online learning module or similar Digital Content, the applicable access method, access start date and any access period shall be stated on the programme page, checkout page or confirmation email.
Digital Content is considered supplied when it is made available to the Buyer through email delivery, an accessible download link or access to an online learning platform.
4. Order Confirmation and Delivery of Access Information
Following successful completion of the purchase, the order summary, payment confirmation, programme date and, where applicable, online access instructions shall be sent to the email address provided by the Buyer or made accessible through a user account area.
The Buyer is responsible for ensuring that all contact, billing and participant information supplied during checkout is accurate, up to date and accessible. If an order confirmation or access link has not been received, the Buyer should contact HimerAgile at contact.himera@himeragile.com before the programme start date.
5. Mandatory Statutory Withdrawal Rights for Consumer Buyers
5.1. General Principle
A Buyer purchasing a Service as a consumer may have a statutory right to withdraw from an online contract under the mandatory consumer laws applicable in the Buyer’s country of habitual residence.
Nothing in this Policy removes or limits any mandatory statutory withdrawal, cancellation, refund or remedy rights that cannot be excluded by agreement.
5.2. Consumer Buyers in Türkiye, the European Economic Area and the United Kingdom
Subject to applicable exceptions and any more protective national rules, a Consumer Buyer located in Türkiye, the European Economic Area or the United Kingdom may generally have the right to withdraw from an online service contract within 14 (fourteen) days from the date on which the contract is concluded, without giving any reason.
To exercise an applicable withdrawal right, the Consumer Buyer must provide a clear statement of their decision to withdraw within the relevant period. The Buyer may use the model withdrawal form made available with the applicable sales terms, but use of that form is not mandatory.
5.3. How to Submit a Withdrawal Request

To help HimerAgile process the request efficiently, the Buyer should include:

full name;

order number;
-
name of the purchased training programme or service;

order date;
-
contact information; and
-
any relevant payment reference available to the Buyer.
The Buyer is advised to retain confirmation that the withdrawal notice was sent within the applicable period.
5.4. Refund Following a Valid Statutory Withdrawal
Where an applicable statutory withdrawal right is validly exercised, HimerAgile shall refund payments due under applicable mandatory law using a payment method compatible with the method used for the original purchase, unless otherwise agreed or required by law.
For eligible Consumer Buyers in Türkiye, the European Economic Area or the United Kingdom, refunds resulting from a valid withdrawal shall generally be processed no later than 14 (fourteen) days after HimerAgile is informed of the Buyer’s decision to withdraw, subject to the applicable legal rules.
Any time required for a bank or payment service provider to reflect a processed refund in the Buyer’s account may be outside HimerAgile’s control.
6. Early Performance and Immediate Digital Access
6.1. Training or Services Starting During a Statutory Withdrawal Period
Where a scheduled training programme or another live service is intended to begin before the expiry of any applicable statutory withdrawal period, HimerAgile may request the Buyer’s separate and express instruction to begin performance early, together with acknowledgement of the relevant legal consequences.
Depending on the mandatory law applicable to the Consumer Buyer, if performance begins at the Buyer’s request and the Buyer later withdraws, the Buyer may be required to pay a proportionate amount for any service already supplied, or may lose the withdrawal right once the service has been fully performed.
6.2. Digital Content Supplied Immediately After Purchase
Where the Buyer requests immediate access to Digital Content, including recorded learning content, downloadable materials, digital workbooks, templates or similar content, HimerAgile may require the Buyer’s prior express consent to immediate supply and acknowledgement that the statutory withdrawal right may be lost once digital access or download begins, to the extent permitted by applicable law.
Unless HimerAgile has obtained any consent and acknowledgement required under applicable mandatory law, it shall not rely solely on early digital access as grounds for claiming that a statutory withdrawal right has been lost.
7. HimerAgile Commercial Cancellation, Transfer and Refund Policy
The commercial options in this Section apply where the Buyer does not have an applicable mandatory statutory withdrawal right or where any such right has expired or is no longer available. These commercial options do not remove or restrict any non-waivable consumer rights.
7.1. Buyer Cancellation of Scheduled Live Training
The following commercial terms apply to in-person or live online training programmes scheduled for a specific date:

Cancellation received less than 7 calendar days before the start date of the training
No commercial refund is due; HimerAgile may, at its discretion, offer a one-time transfer to another suitable programme
Failure to attend without prior notice
No right to a refund or automatic programme transfer arises
7.2. Participant Substitution
For scheduled live training programmes, where the Buyer or the registered participant is unable to attend, the participation right may be transferred to another individual provided that written notice is submitted at least 48 hours before the programme begins.
Participant substitution may be subject to HimerAgile’s approval where the programme has eligibility requirements, certification conditions or specific participation criteria.
7.3. Recorded Programmes and Digital Content
Subject to mandatory applicable law, no commercial refund shall be provided once recorded training content, downloadable material, a digital template, a workbook or other online content access has been supplied or made available to the Buyer.
Where Digital Content is materially inaccessible due to a fault attributable to HimerAgile or is materially different from the purchased content, the Buyer may contact contact.himera@himeragile.com to request technical support and, where appropriate, a refund assessment.
8. Rescheduling, Format Change or Cancellation by HimerAgile
8.1. Change of Date or Delivery Format
HimerAgile may change the date of a programme or propose a change between in-person and online delivery where reasonably necessary due to insufficient participant numbers, trainer illness or unavailability, technical necessity, venue or platform issues, safety considerations, force majeure or another legitimate reason preventing proper delivery of the programme.
If there is a material change to the programme date or delivery format, the Buyer shall be informed through the contact information provided at registration. If the new date or materially changed format is not suitable for the Buyer, the Buyer may request a refund within the period stated in HimerAgile’s notification.
8.2. Cancellation of a Programme by HimerAgile
If HimerAgile cancels a training programme, the Buyer shall be offered either:

a transfer, at no additional charge, to an available equivalent programme scheduled for another date; or
-
a full refund of the amount paid for the cancelled Service.
The Buyer is not required to accept participation in an alternative programme.
8.3. Indirect Costs
Unless required otherwise by mandatory applicable law, HimerAgile shall not be responsible for travel, accommodation, visa, transportation, leave arrangements, opportunity costs or third-party service costs incurred by the Buyer in connection with attendance at a programme. For in-person programmes, participants are advised to consider refundable travel and accommodation arrangements.
9. Method and Timing of Refunds
9.1. Where a refund entitlement arises, the refund shall, where reasonably possible, be made to the payment method used by the Buyer for the original purchase.
9.2. Refunds based on a valid statutory withdrawal right shall be processed in accordance with applicable mandatory law.
9.3. Refund requests accepted due to cancellation or material rescheduling by HimerAgile shall be processed within a reasonable period after the Buyer communicates their refund preference and in compliance with any mandatory applicable requirements.
9.4. Where payment has been made in a foreign currency or a bank or payment provider applies currency conversion, HimerAgile cannot control exchange-rate differences or charges applied by the Buyer’s bank or payment provider. HimerAgile shall fulfil its applicable refund obligation in relation to the amount collected for the Service.
10. Training Materials, Intellectual Property and Access Restrictions
Presentations, workbooks, templates, digital materials, methodologies and content relating to the AIDIVE™ AI Maturity Framework supplied in connection with a training programme may only be used for the personal learning or internal individual professional development purpose permitted under the purchased Service.
Without HimerAgile’s prior written consent, the Buyer or any participant may not reproduce, sell, license, distribute or share such materials with third parties; use the materials to deliver training, consultancy or certification services; record live sessions; or share participation links, login details or digital access with third parties.
A breach of these obligations may result in suspension or termination of access and shall not prevent HimerAgile from exercising any applicable legal rights.

To facilitate efficient handling of a request, Buyers are encouraged to include their full name, order number, purchased programme or service and a brief explanation of their request.
12. Consumer Remedies and Applicable Rights
Consumer Buyers may be entitled to submit complaints or claims to a court, tribunal, consumer authority or alternative dispute resolution body available under mandatory consumer laws applicable in their country of habitual residence.
For purchases subject to mandatory Turkish consumer law, eligible consumers may apply to the competent Consumer Arbitration Committee within the applicable monetary thresholds or to the competent Consumer Court in Türkiye, as provided by applicable Turkish legislation.
13. Entry into Force and Updates
This Policy takes effect on the date it is published on the Website. The version presented to the Buyer and applicable at the time of purchase shall apply to the relevant order.
HimerAgile may update this Policy to reflect changes in applicable legislation, service structure or operational requirements. No subsequent update shall retroactively remove any acquired or mandatory statutory rights relating to a purchase completed before that update.
